Software Pricing Terms & Conditions
Effective Date: 07/12/2025
These Software Pricing Terms & Conditions (“Pricing Policy”) govern all pricing, discounts, schemes, offers, and payments related to RestoreX360 software and services offered by UQuick Technologies India Limited (“Company”).
By purchasing, licensing, reselling, distributing, or using RestoreX360 software, you (“Customer”, “Dealer”, “Distributor”, or “Reseller”) agree to be legally bound by this Policy.
1. Pricing Authority of the Company
1.1 The Company reserves the exclusive right to determine, revise, modify, update, increase, decrease, or withdraw the prices of its software products and services at any time.
1.2 Any price change shall apply prospectively and shall not affect:
Orders already paid for, or
Invoices already issued and accepted,
except where otherwise required under applicable Indian law.
2. Final Price at Time of Purchase
2.1 The applicable price shall be the price prevailing at the exact time of successful payment.
2.2 No customer, dealer, or distributor shall be entitled to:
Retrospective pricing benefits
Price matching requests
Post-purchase price adjustments
due to later price drops, promotions, or dealer-wise differences.
3. Taxes & Government Levies
3.1 All prices are exclusive of GST unless specifically stated otherwise.
3.2 Customers and dealers shall bear:
GST
Applicable duties, levies, cess, or other statutory charges
as required under Indian tax laws.
4. Dealer Price Protection
4.1 Price protection applies only when expressly granted in writing by the Company for:
Specific bulk purchase orders
Time-bound promotional schemes
4.2 No dealer or distributor shall claim automatic price protection, refunds, or credit notes unless:
Confirmed in writing by the Company, or
Required by applicable Indian law.
4.3 Price protection does not apply to:
Clearance / liquidation offers
Flash or festival sales
Online marketplace promotions
Special institutional pricing
5. Minimum Advertised Price (MAP) Policy
5.1 All authorized dealers must comply with the Company’s Minimum Advertised Price (“MAP”) guidelines.
5.2 Dealers shall not publicly advertise prices below the MAP on:
Websites
E-commerce marketplaces
WhatsApp broadcasts
Social media
Digital ads or printed promotional materials
5.3 Private offline selling below the MAP is permitted only if such pricing is not publicly advertised.
Authorized dealers remain free to determine their final resale price independently. The MAP Policy applies only to public advertisements and does not regulate or restrict the actual selling price, in compliance with the Competition Act, 2002.
All MAP obligations, controls, and penalties shall apply only to authorized dealers operating under a valid written dealer or distributor agreement with the Company.
5.4 Penalties for MAP violations:
1st Violation → Written Warning
2nd Violation → Suspension of Supply
3rd Violation → Termination of Dealership
These penalties are contractual in nature and shall not restrict lawful resale pricing or competition under the Competition Act, 2002.
6. Discount Abuse & Scheme Misuse
6.1 Prohibited actions include:
Reselling discounted stock to other dealers
Fraudulent billing to claim higher incentives
Online dumping of discounted products
Cross-border sale of domestically priced licenses
Below-cost advertising intended to destabilize market pricing
6.2 The Company reserves the right to:
Audit dealer invoices and sales
Verify customer activations
Suspend supply during investigation
6.3 If abuse is confirmed, the Company may:
Cancel pending discounts or schemes
Recover wrongful incentives
Suspend or terminate dealership
Initiate civil or criminal proceedings under Indian law
- The exercise of such rights shall be without prejudice to any other contractual or statutory remedies available to the Company.
7. Refunds Related to Pricing
7.1 No refund shall be granted solely because of:
Subsequent price reductions
Promotional offers launched after purchase
Pricing differences across dealers or platforms
7.2 Refunds, if applicable, shall be governed strictly by:
(a) The Company’s official Refund Policy, and
(b) The Consumer Protection Act, 2019, including cases involving proven defect, deficiency of service, or unfair trade practice as determined by a competent authority.
8. Payment Terms
8.1 All payments must be made in advance unless otherwise agreed in writing.
8.2 Accepted payment methods include:
UPI
Net Banking
Debit/Credit Cards
Authorized Payment Gateways
Cheque (subject to realization)
8.3 The Company is not responsible for:
Bank or payment gateway failures
Delays in fund settlement
Incorrect or duplicated payments made by customers or dealers
- Fraudulent chargebacks or false payment disputes may result in suspension of license and recovery proceedings in accordance with applicable law.
9. Unauthorized Sellers & Marketplaces
9.1 Purchases from unauthorized sellers or marketplace vendors:
May not carry a valid license
May not be eligible for warranty or updates
May not qualify for technical support or refunds
9.2 Customers purchasing from unauthorized sellers do so at their own risk.
10. No Waiver of Statutory Consumer Rights
Nothing in this Pricing Policy:
Limits consumer rights under the Consumer Protection Act, 2019
Overrides mandatory protections under Indian law
Restricts remedies available under the Indian Contract Act, 1872
11. Binding Effect
By purchasing, reselling, distributing, promoting, or using RestoreX360 software:
You acknowledge that prices are subject to change
You agree to the price applicable at the time of payment
You accept this Pricing Policy as legally binding
12. Policy Updates
The Company may revise this Pricing Policy at any time without prior individual notice.
The latest version published on the official website shall prevail.
Continued purchase or use of the software after updates constitutes acceptance of the revised Policy.
No revision shall adversely affect any right accrued to a consumer prior to such update, except as permitted under applicable law.
13. Governing Law & Jurisdiction
This Pricing Policy shall be governed by and interpreted according to the laws of India (Bharat).
Subject to the Consumer Protection Act, 2019:
All commercial disputes
Dealer or distributor disputes
shall be subject to the exclusive jurisdiction of the courts at Rajkot, Gujarat, India, except where a consumer is legally entitled to file a complaint before a competent Consumer Forum under the Consumer Protection Act, 2019.
