Software License Terms and Conditions (Policy)
This Software License Agreement (“Agreement”) is a legally binding contract between UQuick Technologies India Limited (“Licensor”, “Company”, “we”, “us”) and the end user (“Licensee”, “you”).
By installing, activating, copying, or using any RestoreX360 software product, you agree to be bound by this Agreement, the Company’s Refund Policy, Pricing Policy, and Technical Support Policy, each of which is incorporated by reference.
By accepting this Agreement, you confirm that you are at least 18 years of age and legally competent to enter into a binding contract under the Indian Contract Act, 1872, or that you are duly authorized to bind the entity on whose behalf the Software is being used.
If you do not agree with the terms, do not install or use the Software.
1. Definitions
1.1 “Software” means any digital application, program, executable, tool, update, patch, upgrade, documentation, or related component provided by the Company.
1.2 “License” means the limited right granted to you to use the Software under this Agreement.
1.3 “Activation” means the first date on which the Licensee activates, installs, or begins using the Software key.
1.4 “Device” means any computer, system, or hardware on which the Software is installed.
1.5 “Policies” refers to the Company’s Refund Policy, Pricing Policy, Support Policy, MAP Policy, and any other linked policies published on the official website.
2. Grant of License
2.1 Subject to full payment and compliance with this Agreement, the Company grants the Licensee a non-exclusive, non-transferable, non-sublicensable, revocable right to install and use the Software strictly according to the license type purchased.
2.2 The Software is licensed, not sold. No ownership rights are transferred.
2.3 The Licensee may use the Software only on devices permitted under the purchased license.
3. License Types & Duration
All license durations begin on the Activation Date, not the purchase date.
3.1 1-Year License (365 Days)
Valid for 365 consecutive days from Activation.
Renewable on expiry.
3.2 3-Year License (999 Days)
Valid for 999 consecutive days from Activation.
Marketed as “3-Year License” for simplicity.
Renewable on expiry.
3.3 Lifetime License (7300 Days / 20 Years)
Valid for 20 years (7300 days) from Activation.
“Lifetime” refers only to a 20-year fixed term, not the user’s lifetime nor perpetual operation.
Includes 5 free Key Reset Events during the 20-year period.
Additional resets may be charged at a reasonable service fee.
4. Scope of Use & Restrictions
4.1 Permitted Use
The Licensee may:
Use the Software for personal or business purposes.
Install on the number of devices allowed under the license type.
Receive updates and support as permitted under the Support Policy.
4.2 Restrictions
The Licensee shall not:
Modify, decompile, reverse-engineer, disassemble, or attempt to access the source code.
Transfer, distribute, resell, lease, or sublicense the Software.
Circumvent activation, tamper with license mechanisms, or misrepresent usage.
Use the Software in violation of Indian law or in any unauthorized manner.
Install the Software on unsupported devices or environments.
5. Ownership & Intellectual Property
5.1 The Software and all related intellectual property remain the exclusive property of the Company and its licensors.
5.2 The Licensee obtains no ownership interest in the Software.
5.3 All copyright notices, trademarks, and proprietary markings must remain intact.
6. Updates & Technical Support
6.1 Updates, patches, and enhancements may be provided at the Company’s discretion.
6.2 Support will be provided:
Only to valid license holders,
In accordance with the Technical Support Policy,
During support hours defined in that Policy.
6.3 The Company may discontinue updates or features as required for technical or operational reasons.
7. License Validation & Enforcement
7.1 The Software may use servers, activation keys, device validation, and telemetry for:
License verification
Security
Fraud prevention
7.2 Licenses found to be misused, shared, pirated, altered, or fraudulently obtained may be revoked without refund, in accordance with Refund Policy & Support Policy.
7.3 No personal data will be collected beyond what is necessary for license validation and security, and any such data will be retained only for as long as required for these purposes. All personal data processing shall be subject to applicable data protection laws in India, including amendments and successor legislation.
All such data collection and processing shall be governed by the Information Technology Act, 2000, applicable rules made thereunder, and the Company’s Privacy Policy, as amended from time to time.
8. Termination
The Company may terminate the License immediately if the Licensee:
Violates any term of this Agreement,
Misuses the Software or attempts to bypass licensing controls,
Performs unauthorized sharing, resale, or modification.
Upon termination:
The Licensee must stop using the Software and uninstall all copies.
No refund shall be provided except as required under Indian consumer law.
9. Refunds & Cancellations
9.1 Activated licenses are generally non-refundable, except where a refund is mandatory under applicable law.
9.2 Refunds, if any, shall be governed strictly by:
(a) The Company’s Refund Policy, and
(b) The Consumer Protection Act, 2019, including cases of proven defect, deficiency of service, or unfair trade practice as determined by a competent authority.
9.3 No refund is provided due to:
Price changes,
Dealer-wise differences,
Promotional discounts,
Wrong product choice,
Any reason prohibited by the Refund Policy.
Termination shall be without prejudice to any other legal or contractual remedies available to the Company.
10. Limitation of Liability
To the maximum extent permitted by Indian law:
10.1 The Company is not liable for:
Loss of data
System corruption
Hardware damage
Business interruption
Indirect, incidental, punitive, or consequential damages
10.2 Total liability shall not exceed the amount paid for the license.
10.3 Nothing in this Agreement limits liability for:
Fraud
Willful misconduct
Gross negligence
Rights that cannot be excluded under Indian law
This aligns with Indian courts’ mandatory consumer rights protections.
11. Disclaimer of Warranties
The Software is provided “as is” without any express or implied warranty.
This includes, but is not limited to:
Merchantability
Fitness for a particular purpose
Non-infringement
This disclaimer is subject to statutory protections available to consumers under Indian law.
12. Governing Law & Jurisdiction
12.1 This Agreement shall be governed by and construed in accordance with the laws of India.
12.2 Commercial disputes, dealer disputes, and B2B matters shall fall under the Exclusive jurisdiction of the competent courts at Rajkot, Gujarat, subject to statutory consumer rights.
12.3 Under the Consumer Protection Act, 2019, consumers may file complaints before the competent Consumer Forum in their locality.
This clause is fully legally compliant and enforceable.
13. Amendments
13.1 The Company may revise this Agreement from time to time.
13.2 Updated terms apply prospectively and will be effective upon publication on the official website.
13.3 Continued use of the Software after updates constitutes acceptance of the revised terms.
No update shall retroactively affect rights already accrued to consumers unless permitted by law.
14. Entire Agreement
This Agreement, together with the Company’s Refund Policy, Pricing Policy, Technical Support Policy, and related documents, constitutes the entire agreement between the parties.
All prior representations, oral or written, are superseded.
15. Acceptance
By installing, activating, or using the Software, you acknowledge that you have:

Understood your rights and responsibilities
Agreed to be legally bound
16. Force Majeure
The Company shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, cyberattacks, government restrictions, power failures, server outages, internet failures, or pandemics.
17. Severability
If any provision of this Agreement is held to be invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect. Any invalid provision shall be interpreted or replaced to best achieve its original intent to the extent permitted by law.
